Capprz Terms of Service

Welcome to Capprz, the platform (the "Platform") for handicappers ("Partners") and the fans who subscribe to them ("Members"). These Terms of Service (these "Terms") are a binding agreement between Capprz, Inc. ("Capprz," "we," "us," or "our") and you, whether you use the Platform as a Partner or a Member. By creating an account or otherwise using the Platform, you agree to these Terms, our Refund Policy, and our Privacy Policy, each incorporated into this agreement.

Capprz is for U.S. residents 21 and older. Capprz provides informational and entertainment sports content — it is not a sportsbook and does not accept wagers. See "Nature of the Service" below.

Account

  1. Account Creation. If you're a Partner, you become a Member of the Platform by signing up and accepting these Terms and a Partner Agreement. If you're subscribing to a Partner, you become a Member by signing up and accepting these Terms.
  2. Jurisdictional Issues. The Platform is for people located in the United States who are at least 21 years old and can legally enter into these Terms. We may limit the Platform's availability, in whole or in part, to any person, region, or jurisdiction at our discretion.
  3. Nature of the Service. The Platform provides informational and entertainment content related to sports, including commentary and analysis created by Partners. All Content reflects the opinion of the individual Partner who created it and is not advice or a recommendation to engage in any wagering, gaming, or financial activity. Capprz does not facilitate, process, or accept wagers on behalf of any Member, and is not a sportsbook. Your subscription fee is a flat, recurring charge for access to Content — it does not vary based on the outcome of any sporting event or any other real-world event. Any wagering or gaming activity you undertake through a third-party service is at your own risk and discretion, and Capprz assumes no responsibility for any losses resulting from your reliance on Content available through the Platform.

Partners

  1. Running a Room. Once approved, a Partner can publish paywalled commentary and analysis ("Content") to their subscribers through a branded space on the Platform (a "Room"), organized into one or more membership plans ("Products"). Capprz maintains a record of Content as originally published and may limit a Partner's ability to alter it after the fact, consistent with the Platform's posting guidelines. You set your own pricing and Subscription Period (day, week, or month) for each Product.
  2. Your Stripe Account. To accept payments, a Partner connects their own Stripe account to the Platform — this is the Partner's account, not Capprz's, and the Partner completes Stripe's registration and identity verification directly with Stripe. Charges to your subscribers are created directly on your Stripe account, and you, not Capprz, are the merchant of record for those transactions — responsible for your own card-network compliance, tax reporting, and any dispute or chargeback Stripe raises against your account. Capprz collects a platform fee (a percentage of your subscription revenue, per your plan tier) automatically through Stripe's application-fee feature, and does not otherwise hold, custody, or disburse your earnings. Capprz may change its platform fee at any time with at least 14 days' notice.
  3. Content Standards. You may not: claim or imply that your Content guarantees a particular outcome or result; claim access to non-public, fixed, or insider information; misrepresent your history or credentials on the Platform; or post Content that targets or is designed to appeal to anyone under 21. Violating this section may result in immediate suspension of your Room without payout of pending earnings.
  4. Independent Contractor. You operate your Room and your Stripe account independently — you're not a Capprz employee, partner, or agent, and you're solely responsible for your own taxes, licenses, and compliance with any laws applicable to selling sports content in the states where you operate.

Members

  1. Subscriptions. Your purchase contract for Room access is with the Partner who runs that Room. When you subscribe, you authorize a recurring charge for the Product price plus any applicable Service Fee and taxes, on the schedule the Partner set, until you cancel. Subscriptions automatically renew at the end of each period unless you turn off auto-renewal in your account settings at least one day before renewal.
  2. Service Fee. In addition to a Partner's price, Capprz charges a Service Fee for use of the Platform, itemized separately at checkout. We'll give at least 14 days' notice by email before increasing it.
  3. Refunds. All sales are final. See our Refund Policy for details.
  4. Confidentiality. Content you receive through a paid subscription is for your personal use only. Sharing or redistributing a Partner's paid Content to anyone who hasn't subscribed — by screenshot, forward, repost, or otherwise — is prohibited and may result in immediate account termination without refund.

Rights & Rules

  1. Intellectual Property. Capprz owns all rights in the Platform itself, including its name, design, and software. Partners own their Content, and grant Capprz a license to host, display, and distribute it as needed to run the Platform.
  2. Discord Bridge. If a Partner enables the optional Discord bridge, Capprz may link your Discord account, with your consent, to automatically grant or revoke a Discord role based on your subscription status. Discord access is a convenience layer, not a substitute for your Capprz subscription, and your use of Discord itself is governed by Discord's own terms.
  3. Monitoring. We're not obligated to monitor use of the Platform or review Content, but we may do so to operate the Service, enforce these Terms, or comply with the law. We may remove Content or suspend accounts at our discretion, including for objectionable Content or a Terms violation.
  4. Acceptable Use. You agree not to: harass, threaten, or abuse other users; impersonate any person or misrepresent your affiliation with any entity; attempt to bypass any access control, session limit, or watermark; scrape or use automated tools against the Platform without our permission; upload malware or interfere with the Platform's operation; or use the Service for anything unlawful.
  5. Copyright. We respond to copyright infringement notices sent to legal@capprz.com that include the information required under 17 U.S.C. § 512(c)(3), and may remove Content or terminate repeat infringers' accounts.
  6. Responsible Gambling. Sports betting involves financial risk. If you or someone you know has a gambling problem, free, confidential help is available 24/7 from the National Council on Problem Gambling at 1-800-GAMBLER (1-800-426-2537) or www.ncpgambling.org.
  7. Privacy. Questions about privacy and consent are covered in our Privacy Policy.

Liability

  1. DISCLAIMER OF WARRANTIES. THE SERVICE AND ALL CONTENT ARE PROVIDED "AS IS," WITHOUT WARRANTY OF ANY KIND. WE DISCLAIM ALL IMPLIED WARRANTIES, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT, AND MAKE NO WARRANTY THAT THE SERVICE WILL BE UNINTERRUPTED, SECURE, OR ERROR-FREE, OR THAT ANY CONTENT IS ACCURATE OR RELIABLE. YOUR USE OF THE SERVICE, AND ANY DECISIONS YOU MAKE BASED ON CONTENT — INCLUDING ANY WAGERING DECISIONS MADE AWAY FROM THE PLATFORM — ARE AT YOUR SOLE RISK.
  2. Indemnity. You'll indemnify Capprz and our officers, directors, employees, and agents against any third-party claim arising from your use of the Service or your violation of these Terms.
  3. LIMITATION OF LIABILITY. TO THE MAXIMUM EXTENT PERMITTED BY LAW, CAPPRZ WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, OR CONSEQUENTIAL DAMAGES ARISING OUT OF THESE TERMS OR YOUR USE OF THE SERVICE. OUR TOTAL LIABILITY UNDER THESE TERMS WILL NOT EXCEED THE FEES YOU PAID CAPPRZ IN THE SIX MONTHS BEFORE THE CLAIM AROSE, OR $100 IF YOU HAVEN'T PAID US ANYTHING IN THAT PERIOD.

Final Details

  1. Term and Termination. You or Capprz may terminate at any time; you can do so by closing your account, and we can do so by giving notice or discontinuing the Platform. Sections that by their nature should survive termination will survive. Partners remain entitled to earnings already accrued in their Stripe account as of termination.
  2. Changes to These Terms. We may update these Terms at any time. If we make material changes, we'll post the update and provide notice through the Platform or by email. Continued use after the effective date means you accept the update.
  3. Third-Party Links. The Platform may link to third-party sites. We don't control, endorse, or take responsibility for them, and your use of any third-party site is at your own risk.
  4. Dispute Resolution. Any controversy, dispute, or claim arising out of or relating to these Terms will be resolved by binding arbitration, except that either party may bring an individual claim in small claims court or seek injunctive relief in court to prevent unauthorized use or IP infringement. You and Capprz each waive the right to a jury trial and to participate in a class or representative action.   5. Governing Law. These Terms are governed by the laws of the State of Michigan, without regard to conflict-of-laws principles.
  6. Miscellaneous. These Terms, our Refund Policy, and our Privacy Policy are the entire agreement between you and Capprz regarding the Platform. If any provision is held unenforceable, the rest remains in effect. You may not assign these Terms without our written consent; we may assign them freely. Our failure to enforce a provision isn't a waiver of it.
